  3. NON-DISCLOSURE AGREEMENT 
  4.  
  5. Hough Elevator, and Hiawatha Builders, agree: 
  6.  
  7. Hough Elevator and Hiawatha Builders may from time to time
  8. disclose to one another certain confidential information or trade
  9. secrets generally regarding lateral elevator installation. 
  10.  
  11. Hough Elevator and Hiawatha Buildiner agrees that they shall not
  12. disclose the information so conveyed, unless in conformity with
  13. this agreement. Both parties shall limit disclosure to their
  14. officers and employees with a reasonable "need to know" the
  15. information, and shall protect the same from disclosure with
  16. reasonable diligence. 
  17.  
  18. As to all information which each party claims is confidential,
  19. they shall reduce the same to writing prior to disclosure and
  20. shall conspicuously mark the same as "confidential," "not to be
  21. disclosed" or with other clear indication of its status. If the
  22. confidential information which is disclosed is not in written
  23. form, for example, a machine or device, the parties shall be
  24. required prior to or at the same time that the disclosure is made
  25. to provide written notice of the secrecy claimed by the party. The
  26. parties agree upon reasonable notice to return the confidential
  27. tangible material provided by the other party upon reasonable
  28. request. 
  29.  
  30. The obligation of non-disclosure shall terminate when if any of
  31. the following occurs: 
  32.  
  33. (a) The confidential information becomes known to the public
  34. without the fault of the party receiving disclosure, or; 
  35.  
  36. (b) The information is disclosed publicly by the party disclosing,
  37. or ; 
  38.  
  39. (c) a period of 24 months passes from the disclosure, or; 
  40.  
  41. (d) the information loses its status as confidential through no
  42. fault of the party receiving disclosure. 
  43.  
  44. In any event, the obligation of non-disclosure shall not apply to
  45. information which was known to a party prior to the execution of
  46. this agreement.
